Terms of service

Welcome to the Friends of Madewell This is a collaboration between you and Madewell and we can't wait to see you shouting loud! As a Madewell advocate, you'll play a crucial role in championing our products/services and helping us reach new heights. Please note that Madewell employees may not currently participate in this program. Here's what we expect from you:

Scope of Work

  1. Once you have completed a few easy challenges, you will be rewarded with tier 1 rewards.
  2. Madewell expects you to post at least once on your IG or TikTok Grid within 30 days after receiving your Madewell product.
  3. After the first post goes live, you are free to take part in as many challenges as you please.
  4. Each challenge rewards you with points which enable you to level up through each tier of the program.
  5. Each time you level up you will unlock bigger and better rewards and exclusive community perks, so don’t forget to continually share the Madewell love! We expect you to post on your IG or TikTok grid each time you receive more Madewell product.

Content Expectations

When posting on social media, you must follow Madewell’s Social Media Guidelines, which are included as Exhibit A. Your post must also include: a) tags to all relevant to Madewell channels (@madewell); b) brand hashtags that disclose your relationship to Madewell, such as #MadewellPartner or #ad or both. Please note that this disclosure is required regardless of any space limitations of the medium (e.g., Twitter/X), where the disclosure can be made via hashtags, such as #sponsored, #paid or #ad (the latter of which preferably at the beginning of the tweet). Please note that although some platforms, such as Instagram, have a “paid partnership” feature that may be used in connection with your post(s), you are still required to include the required disclosures in the caption. Video posts require disclosures in both the caption and in the videos themselves, such as superimposing larger text over the videos. In videos in which endorsements are only made audibly, the disclosures should be audible. Likewise, if the endorsements are made through both visual and audible means, the disclosure should be both in the respective video’s visual and audible portions.); and c) imagery (and, if applicable, audio) that is respectful and appropriate for all audiences.

When posting on social media, you must not include: a) references to products/services from any other brands. b) mentions, images or references to any offensive, harmful, or illegal content. c) degenerative comments towards competitors, employees, social personalities or religious characters. d) content that infringes on the intellectual property rights or privacy of any third party. This includes, but is not limited to, using or featuring (i) audio that is not yours (songs, instrumental music, sound clips from TV shows or movies, sound clips from other creators), (ii) logos, (iii) event names, and (iv) other individuals.

As a member of Friends of Madewell, you are agreeing that any content you submit to the program may be used and re-purposed by Madewell for promotional, marketing and advertising purposes, both online and offline, without any compensation beyond the benefits provided as part of Friends of Madewell.

Wherever possible, Madewell will tag or include your social media handle, name or username. However, due to technical limitations or space constraints, explicit attribution may not always be possible.

Termination You or Madewell are able to delete your Friends of Madewell account at any time. Your partnership may be terminated by Madewell if:

  1. You fail to post at least once on your IG or TikTok Grid within 30 days after receiving your Madewell product.
  2. Your account is inactive for a period of12 months or longer.
  3. You sell, transfer, license or assign your rewards, account, submissions, reward credits, loyalty points or any account rights (or attempt to do any of the same) to anyone other than yourself.
  4. You fail to meet the program expectations, which may include but is not limited to: a) posting or submitting content that is of low quality. b) posting or submitting content that doesn’t adhere to our Madewell guidelines. c) posting or submitting content that doesn’t meet the terms outlined in the Scope of Work.

Exhibit A SOCIAL MEDIA GUIDELINES

  1. Respect Intellectual Property Rights. Intellectual property is the group of legal rights to works that people create or invent. Intellectual property rights typically include copyright, trademark, and trade secret rights, as well as the right to use someone's name, likeness, image, or voice. Examples include photographs, videos, music (including song lyrics), trademarks/logos, brand names or brand packaging, personal names/likenesses (including celebrities’ names/likenesses), quotes and writings. You should never post or share any content including these elements without obtaining written permission to do so from the third party who owns the rights, as this would constitute a violation or infringement of their intellectual property.

This means:

a. You should not post or share any works that you do not own or have a proper license to use or have not been authorized by Madewell for usage.

b. You should get written permission from any third parties featured in photos and other content that you post – for example, a signed release, waiver, or other form of written permission from those third parties – even if you took the photo yourself, know the individuals involved and/or obtained verbal consent.

c. If you are unsure about a work, particularly in instances where a work includes a third-party’s trademark/logo, or music, film or television clips, or a celebrity’s name, photo or image, you should check with Madewell before using the work. A good rule of thumb is, if in doubt, do not post it.

  1. Disclose Your Connection to Madewell. When speaking, blogging or otherwise posting about Madewell or Madewell’s products or services, you must clearly and conspicuously disclose your “material connections” with Madewell (i.e. the fact that your post is “sponsored by Madewell”) and include any hashtag disclosures such as #ad or #sponsored that are required by the FTC Endorsement Guidelines, including any other relevant guidelines or rules, or are otherwise required by Madewell. “Material connections” may be defined as any connection between a blogger and a marketer that could affect the credibility consumers give to that blogger’s statements. Important examples of “material connections” include consideration (i.e., benefits or incentives such as monetary compensation, loaner products, free products or services, in-kind gifts, or special access privileges) provided to an influencer. Note that while Madewell may provide recommendations and options for disclosures, Madewell will not be responsible for any failure by you to comply with the FTC Endorsement Guidelines or any failure by you to obtain all third-party clearances and permissions with respect to content you post.

  2. Maintain Clear, Conspicuous, and Prominent Disclosure. The above disclosure should be made in close proximity to any statements that you make about Madewell or Madewell’s products. This disclosure must be clear, conspicuous, and prominent enough for consumers to view it when they are reading your posts, without having to take another action to view the required disclosure. This means that the disclosure should not be buried within a number of other hashtags, behind links, visible only if the consumer expands the caption or views the comments, or in the Terms and Conditions (or in similar documents). In addition, the consumer should not be required to click on, scroll down or mouse over a link in order to view the disclosure. Please note that this disclosure is required regardless of any space limitations of the medium (e.g., Twitter), where the disclosure can be made via hashtags, such as #sponsored, #paid or #ad (the latter of which preferably at the beginning of the tweet). Please note that although some platforms, such as Instagram, have a “paid partnership” feature that may be used in connection with your post(s), you are still required to make the required disclosures in the caption. Video posts require disclosures in both the caption and in the videos themselves, such as superimposing larger text over the videos. In videos in which endorsements are only made audibly, the disclosures should be audible. Likewise, if the endorsements are made through both visual and audible means, the disclosure should be both in the respective video’s visual and audible portions.

  3. Give Your Honest and Truthful Opinions. Your statements must always reflect your honest and truthful opinions and actual experiences. If a statement is not your opinion, but rather something that Madewell has asked you to say, this fact must be made clear to readers.

  4. Only Make Factual Statements That Are Truthful and Can Be Verified. Only make a factual statement about Madewell or Madewell’s product/service's characteristics or quality which you know for certain is true and can be verified. For example, do not make statements about the performance of a product unless you have support for such claims. Remember that even if you do not expressly state a fact, it may be implied, and these Guidelines apply to both express and implied messages.

  5. Do Not Send Text, E-mail or Other Messages on Madewell’s Behalf Unless Expressly Requested To Do So. Unless expressly requested to do so by Madewell, you are not permitted to send any e-mails, texts, or other messages on Madewell’s behalf, nor will Madewell provide you any compensation if you send any emails, texts or other messages on its behalf.

  6. Comply with Other Policies and Laws. You must comply with the terms, conditions, guidelines, and policies of any service that you use and all applicable laws. For instance, if a service says it may not be used for commercial purposes, then you should not promote Madewell or Madewell’s products or services on such a site.

  7. Protect Your Personal Information. Protect your privacy by keeping in mind that your Posts are public. Don’t share personal or sensitive information about you or your family that you may not want to make available to the public.

  8. Respect Others’ Privacy. Do not include personal information about any third party that has not been voluntarily made available by them for you to share in your Posts. This includes any information that may make it possible for someone to reasonably identify another person. Remember, you must obtain prior written consent from any third party that is featured in your Posts.

  9. User Generated Content. Use only pre-approved responses provided by Madewell to respond to any user generated comments about Madewell or its products or services. Consult with Madewell on any user generated content that contains a Madewell complaint, issue or question.

  10. Professionalism. Influencer must display professional behavior when posting or otherwise communicating about Madewell.
